These Terms of Service ("Terms") govern your access to and use of the website located at https://rootsassumable.learnworlds.com (the "Site") and the "Assumable Mortgages 101" online continuing education course (the "Course") offered through the Site by Roots Homes Inc., a Nevada corporation ("Roots," "we," "us," or "our"). The Site and Course are hosted on the LearnWorlds platform. By accessing or using the Site, enrolling in or accessing the Course, or otherwise interacting with our services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site or Course.
These Terms form a legally binding agreement between you and Roots. Please read them carefully. We recommend printing or saving a copy for your records.

1. Eligibility and Registration

To access the Site or enroll in the Course, you must:

Be at least 18 years old;
Be a resident of the United States; and
If seeking continuing education ("CE") credit, be a licensed real estate agent in good standing with the Nevada Real Estate Division ("NVRED").

By registering, you represent and warrant that you meet these eligibility requirements. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials (including username and password) and for all activities that occur under your account. You must notify us immediately at david@roots.homes if you suspect any unauthorized use of your account or any other breach of security.
We reserve the right to refuse registration, suspend, or terminate your account at any time for any reason, including violation of these Terms or applicable laws.

2. Course Description and CE Credit

The Course is an online, self-paced educational program titled "Assumable Mortgages 101," designed to provide information on assumable mortgages, including step-by-step guidance, real-life scenarios, and paperwork tips. The Course is approved by the NVRED for 3 hours of CE credit in applicable categories (e.g., general or elective credit) for Nevada-licensed real estate agents. Upon successful completion of the Course (including any required quizzes or assessments), we will issue a certificate of completion, which you may submit to the NVRED for CE credit.
We make no guarantees regarding the acceptance of CE credit by the NVRED or any other regulatory body. It is your responsibility to verify that the Course meets your specific CE requirements and to comply with all NVRED rules, including timely submission of certificates. CE credit is non-transferable and may only be claimed by the enrolled individual.

3. License to Access and Use the Site and Course

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, sub-licensable, revocable license to access and use the Site and Course solely for your personal, non-commercial educational purposes. This license includes the right to view, stream, and interact with Course materials during the access period.
You may not:

Share, sell, rent, lease, or otherwise distribute access to the Site or Course;
Download, copy, reproduce, modify, create derivative works from, or publicly display any Course materials (except for personal notes or as expressly permitted);
Use the Site or Course for any commercial purpose, including teaching others or incorporating materials into your own products or services;
Attempt to reverse-engineer, decompile, or disassemble any software or technology used in the Site or Course; or
Use automated tools (e.g., bots, scrapers) to access or extract data from the Site.

All rights not expressly granted are reserved by Roots. Violation of this section may result in immediate termination of your access without refund, and we may pursue legal remedies.

4. Intellectual Property

All content on the Site and in the Course, including text, graphics, logos, images, videos, audio, software, and other materials (collectively, "Content"), is owned by Roots, our licensors, or third parties and is protected by United States copyright, trademark, and other intellectual property laws. 
You may not use any Content except as permitted under these Terms. Fair use under U.S. copyright law (17 U.S.C. § 107) may apply in limited circumstances, but you are responsible for determining if your use qualifies.
If the Site includes third-party content (e.g., images or descriptions from manufacturers or suppliers), all intellectual property rights in such content belong to the respective owners. You may not reproduce or reuse such content without permission from the owner.

5. Fees and Payment

Course fees are displayed on the Site at the time of enrollment. All fees are in U.S. dollars and non-refundable except as provided in Section 8 below. We accept payment via major credit cards and other methods specified on the Site.
By providing payment information, you authorize us (or our payment processor) to charge the applicable fees. You represent that you are authorized to use the payment method provided. We reserve the right to change fees at any time, but changes will not apply to enrollments already processed.
If you enroll through a third-party platform or promotion, additional terms may apply.

6. Course Access period

Access to the Course begins immediately upon enrollment and payment confirmation and lasts for 365 days (the "Access Period"), unless otherwise specified. After the Access Period expires, you will no longer have access to the Course materials, and re-enrollment at the then-current fee may be required.
We aim to provide uninterrupted access but do not guarantee it. Access may be affected by maintenance, technical issues, or other factors beyond our control.

7. User Conduct and Communications

If the Site includes forums, comments, or other communication features ("Communications Facilities"), you agree to use them responsibly. You must not:

Post obscene, vulgar, abusive, threatening, harassing, defamatory, discriminatory, or otherwise objectionable content;
Promote or incite violence, illegal activities, or spam;
Impersonate others, including our employees or affiliates;
Infringe intellectual property rights or violate laws.

We may monitor, retain, and modify communications as needed. You waive any moral rights in your submissions and grant us a perpetual, royalty-free license to use them for any purpose.
We reserve the right to remove content, suspend accounts, or terminate access for violations.

8. Cancellation and Refunds

Pursuant to NAC 645.4448, we have the following policy concerning cancellations and refunds, which complies with applicable Nevada law, including NRS 394.449 where relevant:

Cancellation Within 3 Business Days: You may cancel your enrollment within 3 business days of enrollment for a full refund of all monies paid.
Cancellation Before Accessing the Course: If you cancel after 3 business days but before accessing the Course (e.g., logging in or viewing materials), we will refund all monies paid minus 10% of the tuition or $150, whichever is less.
Withdrawal After Accessing But Before 60% Completion: If you withdraw after accessing the Course but before completing 60% of the program, we will refund a pro rata amount of the tuition based on the portion not completed, minus 10% of the tuition or $150, whichever is less.
Withdrawal After 60% Completion: No refund will be issued if you withdraw after completing 60% or more of the Course.
Expulsion or Termination: If we expel or terminate your access (e.g., for violation of these Terms), refunds will be calculated as above based on completion percentage at the time of termination.
Course Cancellation by Us: If we cancel the Course before it begins, you will receive a full refund. If canceled after it begins, refunds will be pro rata based on completion.

Refunds, if applicable, will be issued to your original payment method within 15 calendar days of your cancellation request or our determination. To request a cancellation or refund, contact us at david@roots.homes. All decisions regarding refunds are at our discretion, subject to applicable law.

9. Links to Third-Party Sites

The Site may contain links to third-party websites (e.g., LearnWorlds or external resources). We are not responsible for the content, privacy practices, or availability of such sites. Links do not imply endorsement.
If you wish to link to our Site, you may link to the homepage only, without deep linking or framing, and must obtain our prior written permission for any commercial use.

10. Privacy and Data Protection

Your use of the Site and Course is subject to our Privacy Policy (available at Privacy Policy), which is incorporated herein by reference. We collect, use, and protect personal information in compliance with applicable U.S. laws, including Nevada Revised Statutes Chapter 603A (Security and Privacy of Personal Information). We may use your information to provide services, process payments, and send updates (with opt-out options). We do not sell your data without consent. For more details, see our Privacy Policy.

11. Disclaimers

The Site and Course are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not guarantee that the Site or Course will be error-free, secure, or uninterrupted, or that any results from using them will be achieved. The Content is for educational purposes only and does not constitute legal, financial, or professional advice. Rely on it at your own risk. We disclaim liability for any decisions or actions based on the Content. While we strive for accuracy, real estate laws and practices change; consult a qualified professional for specific advice.

12. Limitation of Liability

To the maximum extent permitted by law, Roots, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or Course, even if advised of the possibility. Our total liability shall not exceed the fees you paid for the Course in the preceding 12 months. Nothing in these Terms excludes liability for death, personal injury, fraud, or gross negligence where prohibited by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Roots and its affiliates from any claims, losses, damages, liabilities, and expenses (including attorneys' fees) arising from your violation of these Terms, misuse of the Site or Course, or infringement of third-party rights.

14. Changes To Terms

We may update these Terms at any time. We will notify you of material changes via email or Site notice. Continued use after changes constitutes acceptance. If required by law, changes apply prospectively.

15. Termination

We may terminate these Terms and your access at any time, with or without cause. Upon termination, your license ends, and you must cease using the Site and Course.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Clark County, Nevada. You consent to personal jurisdiction in such courts.

17. Miscellaneous

Severability: If any provision is invalid or unenforceable, the remainder remains in effect. No Waiver: Failure to enforce a right does not waive it.
Entire Agreement: These Terms, together with our Privacy Policy and any specific enrollment terms, constitute the entire agreement. No Third-Party Beneficiaries: These Terms are between you and Roots only.
